Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern all engagements, projects, and interactions between Riverun Pte. Ltd. (“Riverun“, “we,” “us,” or “our”) and any individual or entity (“Client,” “you,” or “your”) who engages our creative, production, post-production, or AI-related services. By accessing our website, communicating with us, or entering into any agreement or project with Riverun, you agree to be bound by these Terms.

2. Scope of Services

Riverun provides creative direction, film production, post-production, and AI-driven content creation services, including but not limited to: film and commercial development; visual design, pre-visualization, and AI-assisted concept art; digital and AI-generated imagery, animation, or assets; and consulting and creative strategy. We reserve the right to modify or discontinue any service without prior notice.

3. Acceptance of AI-Assisted Workflows

  • By engaging Riverun, you acknowledge and consent that our production process may involve the use of Artificial Intelligence (AI) tools, software, or models to generate, enhance, or support creative output.
  • AI systems may use original source materials, datasets, or reference imagery to produce visuals or assets.
  • Riverun maintains full creative discretion in determining when and how AI is utilized as part of the production process.
  • All AI-generated materials are considered original creative works commissioned under Riverun’s authorship and workflow.

You agree that the inclusion of AI in any aspect of creative development does not constitute infringement or misrepresentation, and that Riverun shall not be held liable for the presence or influence of AI-assisted elements in the final deliverables.

4. Client Responsibilities

  • Provide accurate, timely, and lawful materials, references, or instructions for the project.
  • Obtain all necessary rights, clearances, and permissions for any third-party materials supplied to Riverun.
  • Review and approve deliverables within agreed timelines.
  • Refrain from requesting the creation of content that violates copyright laws, community standards, or applicable regulations.

Riverun is not responsible for any delays, quality issues, or project outcomes caused by incomplete or inaccurate information provided by the Client.

5. Intellectual Property Rights

  • Unless otherwise agreed in writing, all concepts, drafts, AI outputs, and production materials created by Riverun remain the intellectual property of Riverun Pte. Ltd. until full payment is received.
  • Upon full payment, the Client receives a license to use the final deliverables for the agreed-upon purposes only (e.g., marketing, broadcast, internal use).
  • Riverun retains the right to use any part of the work — including AI-assisted visuals, behind-the-scenes footage, and derivative works — for portfolio, marketing, or educational purposes.

The Client may not edit, reuse, or redistribute the materials for new campaigns, commercial products, or adaptations without Riverun’s written consent.

6. AI-Generated and Composite Materials

  • Riverun may use AI-assisted, stock, or composite elements as part of its creative process. While every effort is made to ensure originality and legality, AI systems may generate outputs that resemble or are inspired by existing styles, datasets, or cultural imagery.
  • Riverun does not guarantee exclusivity of visual style or expression and bears no liability for perceived similarities or stylistic overlaps that may arise from AI systems’ training data or algorithms.

The Client agrees that such overlaps do not constitute a breach of originality or intellectual property.

7. Public Reception and Liability

Riverun produces creative work based on the Client’s direction and approved concepts. As art and advertising are inherently subjective, Riverun is not responsible for any public, media, or audience reaction — whether positive or negative — to the final work. This includes, but is not limited to, social media commentary or backlash; press or public misinterpretation; and ethical, political, or cultural sensitivities arising from the work. The Client bears full responsibility for how the final deliverables are presented, distributed, or perceived by the public.

8. Confidentiality

Both parties agree to maintain confidentiality of all project-related information, creative materials, and business discussions unless mutual written consent is provided. Riverun may, however, reference the project publicly after its official release or with the Client’s prior acknowledgment.

9. Payments and Fees

  • Payment terms are defined in each project quotation or contract. A deposit may be required before commencement of work; balances are payable upon delivery or completion of milestones.
  • Late payments may incur administrative fees or delay project delivery.
  • All production costs, including third-party licensing or AI infrastructure fees, are borne by the Client unless specified otherwise.

10. Revisions and Approvals

Revisions beyond the agreed scope or after final approval will incur additional charges. Approval of final materials constitutes acceptance that all creative, legal, and content responsibilities have been reviewed and approved by the Client.

11. Limitation of Liability

To the fullest extent permitted by law, Riverun shall not be liable for any indirect, incidental, or consequential damages arising from project use or interpretation. In no event shall Riverun’s liability exceed the total amount paid by the Client for the specific project giving rise to the claim.
